Terms of Service
Noxu Platform — managed Website as a Service (WaaS) solution.

By subscribing to a service plan with Noxu ("the Agency"), based in Antwerp, Belgium, you ("the Client") agree to the following terms and conditions.
1. The Service (Website as a Service)
Noxu provides a managed Website as a Service (WaaS) solution. This includes high-performance hosting, security monitoring, and concierge content updates.
ImportantThis is a subscription-based lease model. You are paying for the right to use the Noxu platform and its output; this is not a one-time purchase of source code or a transfer of software ownership.
2. Service Plans & Minimum Commitment
Growth Plan
With a monthly subscription of €145. This plan requires a minimum mandatory commitment of 12 months.
Total contract value: €1,740
Professional Plan
Plus a monthly subscription of €79. This plan operates on a month-to-month basis with no minimum commitment beyond the initial setup.
3. Payment & Subscription
Processing: All payments are processed in advance via Stripe.
Late Payment: If a subscription payment fails and is not resolved within 7 days, Noxu reserves the right to automatically suspend the Client's website until the balance is cleared.
4. Intellectual Property & Ownership
- The Noxu Platform: The Agency retains 100% ownership of the underlying "Master Engine," Next.js architecture, proprietary components, and Headless CMS configurations.
- The Client Content: The Client retains all rights to their brand assets (logo), specific business text (copy), and project-specific media provided.
- Portability: Upon cancellation, the Client may request an export of their business data. However, Noxu’s proprietary code and backend architecture cannot be transferred.
5. Concierge Updates & Maintenance
"Unlimited Updates" included in subscriptions refer to modifications of existing text, swapping photos, and minor layout tweaks to existing pages.
6. Security & Liability
Noxu utilizes enterprise-grade, Headless architecture for maximum security. We are not liable for business loss due to temporary service interruptions or third-party API failures outside our direct control.
7. Cancellation & Termination
Notice: Cancellations must be submitted via email 30 days prior to the next billing cycle.
Early Termination (Plan B): If the Client cancels a 12-month commitment plan before the term ends, the remaining balance becomes due immediately.
8. Governing Law
These terms are governed by the laws of Belgium. Any disputes shall be subject to the exclusive jurisdiction of the courts of Antwerp.
